What is “failure of consideration”?

Failure of consideration is a condition wherein the bases of the contract or the inducement to perform becomes worthless or ceases to exist. That is, when a party to a contract ceases to perform its promise as agreed. In these circumstances, the other party to the contract may also cease performance. Failure of consideration happens all the time. However, prior to ceasing performance, you may want to seek counsel.
